Terms of Service

These Terms of Service ("Terms") govern your access to and use of ScrapeBadger's web scraping API services, website, and related products (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Definitions

  • "ScrapeBadger", "we", "us", or "our" refers to ScrapeBadger and its affiliates
  • "User", "you", or "your" refers to individuals or entities using our Services
  • "API" refers to our application programming interfaces
  • "Credits" refers to the units used to access our API endpoints
  • "Scraped Data" refers to data retrieved through our APIs from third-party sources

2. Account Registration

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2.2 Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your API keys and account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Providing accurate and current account information

3. API Usage Rights

3.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our APIs solely for your internal business purposes.

3.2 API Keys

API keys are for your use only. You may not share, sell, transfer, or sublicense your API keys to third parties. Each API key is tied to your account and usage is tracked and billed accordingly.

3.3 Rate Limits

We may impose rate limits on API usage to ensure fair access for all users and maintain service stability. Current rate limits are documented in our API documentation. Exceeding rate limits may result in temporary access restrictions.

4. Acceptable Use Policy

Important: Violation of this Acceptable Use Policy may result in immediate account termination without refund.

4.1 Permitted Uses

You may use our Services for:

  • Market research and competitive analysis
  • Academic and scientific research
  • Business intelligence and data analytics
  • Price monitoring and comparison services
  • Social media monitoring and sentiment analysis
  • Lead generation (in compliance with applicable laws)

4.2 Prohibited Uses

You may NOT use our Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Scrape personal data for unsolicited marketing or spam
  • Circumvent or attempt to circumvent access controls of target websites
  • Engage in activities that could harm, disrupt, or overload target websites
  • Collect data for illegal purposes including harassment, stalking, or discrimination
  • Resell or redistribute raw scraped data without adding substantial value
  • Build competing web scraping services
  • Attempt to reverse-engineer our systems or APIs
  • Use the Services to scrape websites that explicitly prohibit scraping where doing so would violate laws
  • Collect sensitive personal data (health, financial, biometric) without proper legal basis
  • Impersonate any person or entity

5. Your Responsibilities for Scraped Data

You are the data controller for any personal data you collect using our Services. ScrapeBadger acts solely as a data processor facilitating data retrieval.

You acknowledge and agree that:

  • You are solely responsible for ensuring your use of scraped data complies with all applicable laws, including GDPR, CCPA, and other data protection regulations
  • You must have a lawful basis for collecting and processing any personal data
  • You must respect the terms of service of target websites
  • You are responsible for implementing appropriate data security measures for any data you collect
  • You must respond to data subject requests (access, deletion, etc.) as required by law

6. Credits and Payment

6.1 Credit System

  • API access is metered through our credit system
  • Different endpoints consume different amounts of credits as documented in our pricing
  • Credits are non-transferable between accounts
  • Purchased credits do not expire

6.2 Payment Terms

  • All prices are in USD unless otherwise specified
  • Payments are processed by third-party payment providers
  • You are responsible for any taxes applicable to your purchase
  • Credits are added to your account upon successful payment

6.3 Refunds

We offer a 14-day money-back guarantee for first-time purchases. Refunds for unused credits may be requested within 14 days of purchase. Refunds will not be issued for accounts terminated due to Terms violations.

7. Service Availability

7.1 Uptime

We strive to maintain high availability of our Services. While we target 99.9% uptime, we do not guarantee uninterrupted service. Third-party target websites may change their structure or implement blocking measures that affect our ability to retrieve data.

7.2 Maintenance

We may perform scheduled maintenance that temporarily affects service availability. We will provide reasonable advance notice for planned maintenance when possible.

8. Intellectual Property

8.1 Our IP

ScrapeBadger and its licensors retain all rights, title, and interest in and to the Services, including all software, algorithms, user interfaces, documentation, and trademarks. Nothing in these Terms transfers any intellectual property rights to you.

8.2 Scraped Content

We make no claim of ownership over data retrieved through our Services. The intellectual property rights in scraped content belong to the respective content owners. You are responsible for ensuring your use of such content is lawful.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, error-free, or secure
  • Scraped data will be accurate, complete, or current
  • The Services will meet your specific requirements
  • Any errors will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRAPEBADGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless ScrapeBadger and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable laws or third-party rights
  • Your use, storage, or processing of scraped data

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your dashboard. Unused credits may be refunded at our discretion.

12.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms or the Acceptable Use Policy
  • Engage in fraudulent activity
  • Fail to pay for Services
  • Pose a security risk to our Services or other users

12.3 Effect of Termination

Upon termination, your right to use the Services immediately ceases. We may delete your account data after a reasonable retention period. Sections that by their nature should survive termination will survive (including limitations of liability, indemnification, and dispute resolution).

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or sending you an email. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

15. General Provisions

  • Entire Agreement: These Terms, along with our Privacy Policy and DPA, constitute the entire agreement between you and ScrapeBadger
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • No Waiver: Our failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms without our consent; we may assign freely
  • Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control
